1. Acceptance and Eligibility

1.1 Acceptance of Terms

By accessing or using the App, you agree to these Terms of Use and our Privacy Policy, which is expressly incorporated into this Agreement. If you do not agree, you must immediately cease use of the App.

1.2 Eligibility Requirements

You must meet the following criteria to create and maintain an account:

• You must be at least 18 years of age.
• You must not have been convicted of, or pled no contest to, any felony, any sex crime, or any crime involving violence.
• You must be legally permitted to use the App by the laws of your home country.

2. Mandatory Verification and AI Scoring

2.1 Mandatory Image and Biometric Verification

Use of the App is strictly conditional on successfully completing and maintaining our mandatory image and biometric verification process.

• You must submit a live video selfie for the App to generate your Facial Geometry template (Biometric Data).
• This Biometric Data is used solely to verify the authenticity of your profile photos and prevent fraud.
• By agreeing to these Terms, you provide your explicit consent to the collection and processing of your Biometric Data for this purpose, as detailed in our Privacy Policy. Failure to provide consent or to successfully pass verification will result in the denial or immediate termination of your account.

2.2 Automated Behavioral Trust Score (BTS)

The App uses Artificial Intelligence to generate a Behavioral Trust Score (BTS) for your profile based on your interactions, content, and verification status.

• Public Display: You acknowledge and agree that your BTS (or an associated Trust Badge) will be publicly visible to other users on your profile.
• Ranking: You agree that the BTS is the primary algorithmic factor determining your visibility, placement, and matching opportunities within the App.
• Termination: A BTS that falls below a predetermined, non-public threshold, or is linked to severe breaches of these Terms (e.g., harassment, spam), will result in the suspension or permanent termination of your account.

3. Your Rights and Obligations (User Content)

3.1 Ownership of Your Content

You retain ownership of all text, images, audio, video, and other material you submit ("Your Content").

3.2 License to Dahlia

You grant Dahlia a worldwide, royalty-free, transferable, sub-licensable license to host, store, reproduce, adapt, translate, publish, publicly display, and distribute Your Content for the purpose of operating, improving, and promoting the App, training AI systems, and creating derivative works such as trust-safety tooling. This license survives account closure only for the limited time necessary to fulfill legal requirements, investigate abuse, or back up services.

3.3 Community Standards

You agree to follow the Community Guidelines & Safety Policy (incorporated by reference) along with these Terms. Dahlia may remove content, demote visibility, or suspend accounts that violate those standards.

3.4 Prohibited Content and Conduct

You agree not to post, transmit, or otherwise share any content or engage in any conduct that:

• Violates any law or regulation, including the intellectual property rights of others.
• Is abusive, obscene, harassing, threatening, or promotes violence.
• Involves the solicitation of passwords or personal identifying information from other users for commercial or unlawful purposes.
• Involves "spamming," "phishing," or sending unsolicited advertisements.
• Involves the creation or distribution of deepfakes or malicious synthetic media.

You also agree not to interfere with network operations, probe or scan the platform, or copy the App by automated means except via published developer tools.

4. Payments, Subscriptions, and Credits

• Fees & taxes: Premium subscriptions, boosts, and other paid products are billed through the relevant app store or Stripe and include any required taxes.
• Auto-renewal: Subscriptions renew automatically until cancelled at least 24 hours before the end of the current term via your app-store settings.
• Refunds: Purchases are final except where local law or the app store provides a mandatory refund. Billing disputes must be submitted within 30 days.
• Credits: Promotional credits have no cash value, expire as stated, and may be revoked for misuse.

5. Acceptable Use & Platform Integrity

You agree not to:

• Access the App with scraping tools, bots, or other automated means without written permission.
• Reverse engineer, copy, or exploit proprietary code, algorithms, or APIs.
• Upload malware, interfere with security features, or disrupt network capacity.
• Trade, sell, or purchase accounts, matches, or messages outside the App.

We may throttle traffic, deploy moderation technologies, or suspend accounts to enforce this section.

6. Termination and Remedies

6.1 Termination by You

You may terminate your account at any time via the settings in the App.

6.2 Termination by Dahlia

We may suspend or terminate your account, remove content, or limit features without notice if you breach these Terms, fail verification, receive a BTS below our safety threshold, or otherwise jeopardize user safety.

6.3 Appeal Process

You may appeal BTS-related or moderation actions within thirty (30) days by emailing appeals@dahlia.app. Dahlia will provide a human review.

7. Disclaimers, Limitation of Liability, and Indemnity

7.1 Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." DAHLIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY MATCHES OR SPECIFIC RESULTS.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAHLIA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO DAHLIA IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) USD . DAHLIA IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.

7.3 Indemnity

You agree to indemnify and hold harmless Dahlia, its affiliates, and their directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from Your Content, your breach of these Terms, or your interactions with other users.

8. Dispute Resolution (Mandatory Arbitration and Class Action Waiver)

8.1 Governing Law & Venue

These Terms are governed by the laws of the State of California, U.S.A., excluding its conflict of law rules.

8.2 Mandatory Arbitration

Except for claims that qualify for small claims court or requests for injunctive relief for intellectual property misuse, all disputes must be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in San Francisco County, California, or via virtual hearings.

8.3 Class Action Waiver

YOU AND DAHLIA AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate claims without both parties' consent.

8.4 Opt-Out Right

U.S. residents may opt out of arbitration within thirty (30) days of first accepting these Terms by mailing written notice to Dahlia Dating Technologies, Inc., 500 2nd Street, San Francisco, CA 94107, USA, Attn: Arbitration Opt-Out.

9. Miscellaneous

9.1 Entire Agreement

These Terms, together with the Privacy Policy and referenced policies, constitute the entire agreement between you and Dahlia.

9.2 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, governmental action, or internet failures.

9.3 Assignment

Dahlia may assign these Terms in connection with a merger, acquisition, or asset sale. You may not assign your rights or obligations without our prior written consent.

9.4 Severability

If any provision is deemed invalid or unenforceable, the remaining provisions will continue in full force.
